KVADOS has simplified its organisational structure

The new Civil Code, which came into effect on 1 January 2014, has brought changes in corporate law, necessitating a revision of KVADOS’s Articles of Association. All legislative requirements were carefully discussed with the law office of Jansa, Mokrý, Otevřel & Partners. KVADOS management decided not only to bring everything into line with the current legislation, but to use this opportunity to simplify the structure of the company’s statutory bodies.

Following approval by the General Meeting of KVADOS Shareholders, certain fundamental changes came into effect as of 1 July 2014. Two company bodies, the Board of Directors and the Supervisory Board, have been dissolved and replaced with a simpler structure, the Management Board. At present, the single member of the board is Miroslav Hampel, who was elected by the General Meeting. After being appointed to the Management Board, he also became the statutory director instead of his previous position as Chairman of the Board of Directors. The new organisational structure corresponds to the current ownership structure, as M. Hampel is the majority shareholder of KVADOS. Following approval by the General Meeting, the company also approved the performance agreement with Miroslav Hampel and thus brought its organisational structure into line with current legislation.

The company’s highest body remains the General Meeting of Shareholders, which elects the Management Board. The Management Board in turn appoints the statutory director. In addition to this role in the company’s organisational structure, Miroslav Hampel remains in the position of CEO. The Board of Directors and the Supervisory Board ended their activities as of 30 June 2014, and the General Meeting thanked them for the work they have performed.

KVADOS has also approved the company’s new Articles of Association, and increased the company’s registered capital to 2 million crowns as required by the new legislation. However, this increase has not changed the shareholder structure in any way. All changes have already been entered in the Commercial Register and KVADOS remains a reliable and innovative manufacturer of its own information systems, mobile and CRM solutions, with a transparent ownership and organisational structure.
